On July 28, 2008, PSS World Medical, Inc. (the “Company”) issued a press release in which the Company announced its intention to offer, subject to market and other conditions, approximately $200 million aggregate principal amount of Convertible Senior Notes due 2014 through offerings to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. This press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
