Item 8.01                     Other Events.

On October 25, 2011, La Jolla Pharmaceutical Company (the “Company”) reported that since October 14, 2011 it had converted approximately 88 shares of Series C-11 Convertible Preferred Stock into a combined total of 14,664,333 shares of common stock. Following these conversions, the Company had a total of 76,560,644 shares of common stock issued and outstanding as of October 25, 2011.
