Item 8.01                     Other Events.

On June 13, 2011, La Jolla Pharmaceutical Company (the “Company”) reported that since June 6, 2011 it had converted approximately 18 shares of Series C-11 Convertible Preferred Stock into a combined total of 3,084,666 shares of common stock. Following these conversions, the Company had a total of 24,940,989 shares of common stock issued and outstanding as of June 13, 2011.
