Explanatory Note
Simpson Manufacturing Co., Inc. (the “Company”) is filing this Amendment No. 1 to its Current Report on Form 8-K, filed with the U.S. Securities and Exchange Commission on May 29, 2019 (the “Original Form 8-K”), solely to amend the retirement date of Ricardo M. Arevalo, Chief Operating Officer.
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously reported on the Original Form 8-K, Ricardo M. Arevalo notified the Company on May 22, 2019, that he has decided to retire as Chief Operating Officer of Simpson Strong-Tie, Inc. (“Strong-Tie”), a subsidiary of the Company, as of January 2020.
On January 17, 2020, the Company and Mr. Arevalo agreed to change Mr. Arevalo’s retirement date from January 2020 to on or about February 14, 2020.
