(NYSE:RCI) today announced that it has signed a definitive agreement to be acquired by Fresenius Medical Care AG (Frankfurt Stock Exchange:FME, FME3) (NYSE:FMS, FMS-p) in an all-cash transaction in which Renal Care Group's shareholders will receive $48.00 per share, or approximately $3.5 billion in total. In addition, the transaction includes Renal Care Group's outstanding indebtedness of approximately $500 million. Following the transaction, the combined company will be the largest provider of dialysis services in the United States. The transaction is subject to the approval of Renal Care Group's shareholders and other customary closing conditions, including the expiration of the waiting period under the Hart-Scott Rodino Antitrust Improvements Act. Fresenius Medical Care has commitments for senior debt financing of $5.0 billion to fund the purchase and the repayment of certain indebtedness of Fresenius Medical Care and Renal Care Group.
