(b) Resignation of Executive Officer

On February 8, 2012 Advocat Inc. announced it had entered into a separation agreement with W. David Houghton, Chief Information Officer of the Company. Pursuant to this agreement, Mr. Houghton’s employment with the Company ceased effective February 3, 2012, and he will be entitled to the severance benefits provided in his employment agreement.
