Item 1.01. Entry into a Material Definitive Agreement.

     On April 29, 2005 Advocat Inc. (the “Company”) announced that it executed an agreement to refinance debt related to its nursing home property in Hartford, Alabama. A press release regarding the refinancing is attached hereto as exhibit 99.1
