Item 8.01. Other Events.

As previously disclosed, the Company leased three nursing homes, including two operating facilities and one closed facility, in Texas under a lease that expired in April 2004. Since the expiration of the lease, the Company has operated under the lease on a month to month basis. The owner of the properties had notified the Company of its intent to sell these properties.

The sale of the two operating properties was completed on December 1, 2004, and at that time the Company terminated its lease obligations on all three facilities and cooperated in an orderly transition of the properties.
