Item 3.03 Material Modifications to Rights of Security Holders.

On December 31, 2009, the rights (the "Rights") to purchase shares of Series A Junior Participating Preferred Stock of CKE Restaurants, Inc. (the "Company") which accompanied shares of the Company’s common stock and which were granted pursuant to the Rights Agreement between the Company and Mellon Investor Services, LLC, dated January 5, 2009 (the "Rights Agreement"), expired pursuant to the terms of the Rights Agreement. As a result, the Rights have no further force or effect and the Company’s stockholder rights plan has effectively terminated.
