The issuance of the Shares upon conversion of the Notes in accordance with the indenture has been duly authorized by all necessary corporate action on the part of the Company. 3. The Shares, when issued upon conversion of the Notes in accordance with the indenture governing the Notes and as contemplated in the Registration Statement, will be validly issued, fully paid and nonassessable.
