Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 3, 2020, the Board of Directors of Sugarmade Inc., a Delaware corporation (the “Company”) accepted the resignation of Khoi Dang as a Director of the Company, who resigned for personal reasons. There were no disputes or disagreements with Mr. Dang that resulted in his resignation.

The board of director is the processing of vetting several potential replacements and expects to make an announcement of a replacement over the short term.
