Purpose of Amendment

 

The purpose of this amendment is to amend and supplement Item 8 in the Solicitation/Recommendation Statement on Schedule 14D-9 previously filed by Maxwell Shoe Company Inc. (the “Company”) on March 29, 2004 and subsequently amended on April 1, 2004, and to add additional Exhibits to Item 9 and revise the Exhibit Index accordingly.

Item 8 is hereby amended and supplemented as follows:

 

Hart-Scott-Rodino Antitrust Improvements Act of 1976

 

On April 5, 2004, the Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 with respect to the Offer.

 

2004 Annual Meeting of Stockholders

 

On April 8, 2004, the Company held its 2004 Annual Meeting of Stockholders (the “Annual Meeting”). A copy of the script from a portion of the management presentation at the Annual Meeting and the accompanying slides from the management presentation are attached as Exhibits (a)(6) and (a)(7) to this Schedule 14D-9 and are incorporated herein by reference. A copy of the press release relating to the Annual Meeting is attached as Exhibit (a)(8) to this Schedule 14D-9.
