Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) As previously announced, Anthony J. Massetti, Senior Vice President and Chief Financial Officer, announced his resignation from the Company effective upon completion of the fiscal third quarter regularly scheduled earnings announcement in late January 2008. Mr. Massetti’s resignation from the Company was effective January 25, 2008.

(c) Douglas D. Naylor, Vice President of Finance became interim Chief Financial Officer effective January 25, 2008, and will serve as the Company’s principal financial officer and principal accounting officer until a permanent Chief Financial Officer is appointed.
