Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On May 20, 2010, the Compensation Committee of the Board of Directors of QLogic Corporation, a Delaware corporation (the “Company”) approved annual cash incentive payments with respect to fiscal year 2010 for the Company’s principal executive officer and principal financial officer and certain of the Company’s executive officers whose compensation was disclosed in the Summary Compensation Table included in the Company’s proxy statement for its last annual meeting of stockholders.
