Item 2.02 Results of Operations and Financial Condition.

On October 11, 2021, Solitron Devices, Inc. (“Solitron” or the “Company”) issued a press release announcing financial results for the second quarter of fiscal year 2022 and the six months ended August 31, 2021, and expectations for the subsequent quarters of fiscal 2022 and the timing of the Company's facility relocation. A copy of the press release is furnished hereto as Exhibit 99.1.
