Item 8.01.  Other Events.

On January 18, 2010, the Board of Directors of Solitron Devices, Inc. (the "Company") adopted a Code of Business Conduct and Ethics (the "Code") applicable to all directors, officers and employees of the Company.  The Code is also applicable to independent contractors of the Company, which have acknowledged receipt of the Code and their obligations to comply with the Code.  The Code is intended to provide guidance to directors, officers, employees and applicable independent contractors to help them recognize and deal with ethical issues, provide mechanisms to report unethical conduct and help to preserve the culture of honesty and accountability at the Company.  The Code supplements the Company's Code of Ethics for Senior Financial Officers.  A copy of the Code is attached to this current report on Form 8-K as Exhibit 14.1 and incorporated herein by reference.  The Code will also be placed on the Company's website as soon as practicable.
