ITEM 5.02 — DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY PLANS.
 
Charles B. Clark, Jr., the Company’s Senior Vice President and Chief Accounting Officer, will be leaving Calpine Corporation (the “Company”) effective May 30, 2008.  Mr. Clark will be entitled to severance benefits under the Calpine Corporation Change in Control and Severance Benefits Plan, which was adopted effective January 31, 2008, and continues to be eligible to participate in the Company’s Emergence Incentive Plan as disclosed in the Company’s Annual Report on Form 10-K for the year ended December 31, 2007.
