ITEM 8.01 — OTHER EVENTS

 

On page 103 of our Annual Report on Form 10-K for the year ended December 31, 2005, filed with the SEC on May 19, 2006, we reported that, in determining the accounting treatment for our second priority senior notes, we classified such notes as “liabilities subject to compromise.” In connection with this classification, we stated that “[b]ased upon our assessment of the value of our assets compared to our liabilities, we concluded that our second priority senior notes . . . were under-secured.” As a point of clarification, we have not made, and do not currently propose to make, an affirmative determination whether our second priority senior notes are fully secured or under-secured. We do, however, believe that there is uncertainty about whether the market value of the assets securing the obligations owing in respect of the second priority senior notes is less than, equals or exceeds the amount of these obligations. Therefore, in accordance with the applicable accounting guidance, we believe the second priority senior notes are correctly classified as “liabilities subject to compromise.”
