Item 1.01. Entry into a Material Definitive Agreement.

On March 31, 2008, Sonic Solutions (“Sonic”) entered into a third amendment (the “Third Amendment”) to its Loan and Security Agreement (as amended by the First Amendment to Loan and Security Agreement dated December 20, 2005, and as further amended by the Second Amendment to Loan and Security Agreement dated September 28, 2007) (as amended, the “Loan Agreement”) with Union Bank of California, N.A. (“UBOC”).

The Third Amendment extends the maturity date of its revolving line of credit under the Loan Agreement from March 31, 2008 to June 30, 2008. The Amendment also evidences the waiver by UBOC of certain covenant defaults under the Loan Agreement.
