Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 4, 2008, Health Net, Inc. ("Health Net" or the "Company") announced the retirement of Stephen Lynch, President of the Company’s Health Plan Division, effective February 28, 2009 (the "Retirement Date"). From November 4, 2008 through the Retirement Date, Mr. Lynch will serve as the Company’s Special Advisor, Health Plan Division, reporting directly to James Woys, the Company's Chief Operating Officer. Mr. Lynch will work on special projects for Mr. Woys until the Retirement Date.
