Item 8.01 Other Events.

On November 19, 2007, the governor of Connecticut announced that she has ordered the termination of the managed care responsibilities of four contractors, including Health Net of Connecticut, Inc., a subsidiary of Health Net, Inc. ("Health Net" or the "Company"), in the state's HUSKY (Healthcare for UninSured Kids & Youth) program. The Governor's decision was based on certain contractors, including Health Net, challenging the state Freedom of Information Commission's determination that HUSKY managed care contractors should be subject to the state's Freedom of Information Act and, as such, are required to disclose their provider reimbursement rates and other proprietary and trade secret information. The termination will be effective December 1, 2007. Health Net will work with the Connecticut Department of Social Services to develop an appropriate transition plan to help insure that all members will receive uninterrupted coverage and ongoing access to health care services.
