Item 8.01. Other Events.

On May 17, 2010, a wholly-owned subsidiary of Health Net, Inc. (“Health Net” or the “Company”) exercised its option to terminate the Company’s non-interest bearing, $175 million amortizing financing facility with a non-U.S. lender (the “Facility”). The Company intends to use a combination of cash on hand and a $100 million draw on its $900 million five-year revolving credit facility to repay all amounts outstanding under the Facility. As of May 17, 2010, the principal amount outstanding under the Facility is approximately $114 million. In connection with the repayment and termination of the Facility, the Company also intends to terminate the related interest rate swap agreement with a non-U.S. bank affiliated with one of the Facility participants.
