(b) Departure of Principal Officer—Marvin P. Rich

Effective July 12, 2005, Marvin P. Rich retired as Executive Vice President, Operations of Health Net, Inc. (the “Company”) and left the employ of the Company. In connection with his departure, Mr. Rich will receive from the Company the benefits pursuant to the provisions of his employment agreement governing a termination without cause not within the first two years after a change-in-control of the Company.
