Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 14, 2005, Mr. Hubert E. Yarborough, III notified The Pantry, Inc. (the “Company”) that he plans to resign from the Company’s board of directors, effective December 31, 2005. Mr. Yarborough’s decision to resign was not the result of any disagreement with the Company.
