Equity Financing

In February 2017, the Company filed an automatic shelf registration statement which immediately became effective by rule of the SEC. For so long as the Company continues to satisfy the requirements to be deemed a well-known seasoned issuer, this shelf registration statement allows the Company to issue an unlimited number of securities from time to time. As of September 30, 2017, the Company had not sold any securities under this shelf registration statement.

The specific terms of future offerings, if any, under the shelf registration statement would be established at the time of such offerings.
