On July 30, 2010, Middleburg Financial Corporation (the “Company”) issued a press release reporting its financial results for the period ended June 30, 2010. A copy of the press release is being furnished as Exhibit 99.1 to this report and is incorporated by reference into this Item 2.02.

Item 8.01.                                Other Events.

On July 30, 2010, the Company issued a press release reporting the declaration of a cash dividend of $0.10 per share.  The dividend is to be paid on August 27, 2010 to shareholders of record as of August 13, 2010.  A copy of the press release is being furnished as Exhibit 99.2 to this report and is incorporated by reference into this Item 8.01.
