Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 28, 2009, Middleburg Financial Corporation (the “Company”) filed a Current Report on Form 8-K under Item 5.02 reporting that the Board of Directors had elected Mr. John M. Rust as a new director of the Company.  At the time of that filing, Mr. Rust had not been appointed to any committees of the Board of Directors.  The Company is filing this Form 8-K/A to report that on April 28, 2010, the Board of Directors appointed Mr. Rust to serve on the Compensation Committee and the Investment/Asset Liability Committee (ALCO).
