Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 25, 2009, Millicent W. West, 87, and J. Lynn Cornwell, Jr., 84, both directors of Middleburg Financial Corporation, announced that they will retire and thus not stand for re-election at the 2009 Annual Meeting of Shareholders of Middleburg Financial Corporation.

 

Mrs. West, who joined the Board of Middleburg Bank in 1975 as well as Mr. Cornwell who joined the Board in 1984, both cited age and health reasons in announcing their retirements. The Board of Directors expressed their sincere thanks for Mrs. West’s and Mr. Cornwell’s many years of dedicated service to the Bank and Corporation.
