Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 31, 2007, Edward T. Wright resigned as a member of our board of directors. Mr. Wright has served as a director since 1972 and, before his resignation, was a member of our Audit and Investment Committees.  He retired from our wholly owned subsidiary and predecessor, Middleburg Bank, as Senior Vice President in 1998 after 42 years of service.  Mr. Wright, who is 71 years of age, cited health reasons for his decision.
