Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of March 15, 2007, Rodney J. White, who is Vice President and Controller of the Company, served as the principal accounting officer of the Company in connection with the filing of the Company’s Annual Report on Form 10-K for the year ended December 31, 2006. Kathleen J. Chappell, the Company’s Senior Vice President and Chief Financial Officer, had been serving as both the principal financial officer and principal accounting officer of the Company prior to the filing of the Form 10-K.

Mr. White, 40, has served as Vice President and Controller since April 2006. He has served as an accountant with the Company since July 2001, and he was named Assistant Vice President in September 2004.
