Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

C. Oliver Iselin, III resigned from the Board of Directors of Middleburg Financial Corporation (the “Company”) effective October 11, 2005. His resignation was due solely to health reasons. Mr. Iselin had been a director of the Company and Middleburg Bank, the predecessor to and now a wholly owned subsidiary of the Company, since 1975.
