Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

William F. Curtis resigned from the Board of Directors of Middleburg Financial Corporation (the “Company”) effective July 26, 2005. His resignation was due to health reasons. Mr. Curtis had been a director of the Company and Middleburg Bank (the “Bank”), the predecessor to and now a wholly owned subsidiary of the Company, since 1962. Until 1993, he had served as President and Chief Executive Officer of the Bank for 25 years.
