Item 8.01 Other Events. 

On October 24, 2016, Middleburg Financial Corporation ("Middleburg") and Access National Corporation ("Access") issued a joint press release announcing the execution of an Agreement and Plan of Reorganization, dated as of October 24, 2016, pursuant to which Access and Middleburg will merge, subject to the terms and conditions set forth therein.  A copy of the joint press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.

In addition, Middleburg and Access will host a conference call regarding the merger at 11:00 a.m. EDT on October 24, 2016.  Instructions for participating in the conference call are included in the attached joint press release.  A copy of the investor presentation that Middleburg and Access will use during this call to provide supplemental information about the proposed transaction is attached hereto as Exhibit 99.2 and incorporated by reference herein.  This investor presentation is also accessible online at www.middleburgbank.com under "Investor Relations" and following the "Presentations" tab.
