Capitalized terms used herein and not defined herein have the meanings ascribed thereto in the Schedule 13D. Item 6. CONTRACTS, ARRANGEMENTS, UNDERSTANDINGS OR RELATIONSHIPS WITH RESPECT TO SECURITIES OF THE ISSUER. Item 6 of Schedule 13D is amended and restated as follows: On December 19, 2000, Smithfield made a filing with the Antitrust Division of the Department of Justice and the Federal Trade Commission under the Hart-Scott Rodino Antitrust Improvements Act of 1976, as amended, with respect to its proposal to acquire IBP. In connection with such filing, Smithfield issued a press release which is attached hereto as Exhibit 1.
