Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)  On January 4, 2010, Dean Olmstead and David Rayner notified TerreStar Corporation (the “Company”) that they were resigning, effective December 31, 2009, from the Board of Directors of the Company and its majority-owned subsidiary, TerreStar Networks Inc.  Neither Mr. Olmstead nor Mr. Rayner has informed the Company that their resignation is due to any disagreement with the Company on any matter related to the Company's operations, policies or practices.

The Board of Directors of the Company will consider filling the vacancies caused by the resignations of Messrs. Olmstead and Rayner at a later date.
