Item 7.01 Regulation FD Disclosure.
          On September 29, 2005, N. Damodar Reddy, Chairman of the Board, President, Chief Executive Officer and Interim Chief Financial Officer of Alliance Semiconductor Corporation (the “Company”), gave a presentation to Institutional Shareholder Services, Inc. (“ISS”). The text of the slides used during the presentation is furnished as Exhibit 99.1, attached hereto. The Company anticipates using these slides in future stockholder presentations.
