This filing consists of a letter from N. Damodar Reddy to Bryant Riley dated July 15, 2005.

The Board of Directors intends to file a proxy statement with the Securities and Exchange Commission relating to its solicitation of proxies for the Company’s Annual Meeting of Stockholders.
