Explanatory Note
     This Form 8-K/A is being filed as an amendment to the Current Report on Form 8-K filed by Belden Inc. (the “Company”) with the Securities and Exchange Commission on May 19, 2011 (the “Original Filing”). The sole purpose of this amendment is to disclose the Company’s decision regarding the frequency of future shareholder advisory votes on executive compensation. No other changes have been made to the Original Filing.
Item 5.07.   Submission of Matters to a Vote of Security Holders.
     On May 18, 2011, the Company conducted a non-binding advisory vote regarding the frequency of stockholder approval of the compensation of named executive officers. After considering the results of the stockholder advisory vote, the Company has determined that it will hold an annual advisory vote on executive compensation until the next required vote on the frequency of stockholder votes on executive compensation.
