Item 2.01 Completion of Acquisition or Disposition of Assets.
On February 22, 2022, Belden Inc. (the “Company”) completed the disposition of its Tripwire cybersecurity business pursuant to a Stock Purchase Agreement (the “Agreement”) dated as of February 7, 2022 between Help/Systems, LLC, a Delaware limited liability company (“Buyer”), and the Company. Pursuant to the Agreement, Buyer acquired the Company’s subsidiary VIA Holdings I, Inc., a Delaware corporation (“VIA”), and VIA’s subsidiaries, including Tripwire, Inc., for $350.0 million in cash. The press release announcing the Company’s completion of the disposition of the Tripwire business is attached hereto as Exhibit 99.1.
