1. With the exception of an aggregate of 91,500 shares owned directly by Gail Brazil, the reported securities are owned directly by Boston Financial Partners, Inc. and indirectly by Thomas E. Brazil, as the sole officer, director and stockholder of Boston Financial Partners, Inc. Thomas E. Brazil and Gail Brazil disclaim beneficial ownership of the reported securities except to the extent of their pecuniary interest therein.
