1. The reported securities are owned directly by Boston Financial Partners, Inc. and indirectly by Thomas E. Brazil, as the sole officer and director of Boston Financial Partners, Inc., and Gail Brazil, as the sole stockholder of Boston Financial Partners, Inc. Thomas E. Brazil and Gail Brazil disclaim beneficial ownership of the reported securities except to the extent of their pecuniary interest therein.

2. The reported securities are owned directly by Gail Brazil.

3. The Warrant is immediately exercisable with respect to all 880,000 shares.
