Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective January 27, 2017, the services of Mr. Louis A. Smith, as a member of the Board of Directors of Universal Forest Products, Inc. (the "Company") ended. Mr. Smith served as a director of the Company since 1993, the year in which the Company first became a public reporting company.

In connection with the departure of Mr. Smith, the Board decreased the size of the Board from ten members to nine members.
