Sinclair Commences Tender Offer for 8% Senior Subordinated Notes

 

(BALTIMORE)  September 20 2010 — Sinclair Television Group, Inc. (“Sinclair”), a wholly-owned subsidiary of Sinclair Broadcast Group, Inc. (the “Company”) (Nasdaq: SBGI) today announced that it is commencing a cash tender offer for any and all of Sinclair’s outstanding 8% Senior Subordinated Notes due 2012 (CUSIP No. 829226AM1) (the “Notes”).  Approximately $224.7 million of the Notes are currently outstanding.

 

As part of the tender offer for the Notes, Sinclair is also soliciting consents from the holders of the Notes for certain proposed amendments that would eliminate substantially all of the restrictive covenants and events of default. Holders that validly tender their Notes will be deemed to have delivered their consent to the proposed amendments. Holders may not tender their Notes without delivering their consents to the proposed amendments and may not deliver their consents without tendering their Notes. Specific terms and conditions of the tender offer are included in the Offer to Purchase and Consent Solicitation Statement, dated September 20, 2010 (the “Statement”).

 

The Company also announced that it intends to issue senior unsecured notes in a private placement to finance the tender offer.

 

The Company is offering to purchase for cash, upon the terms and subject to the conditions set forth in the Statement and the related Consent and Letter of Transmittal, any and all of the outstanding Notes at a purchase price of $1,002.50 per $1,000 in principal amount of the Notes validly tendered and not validly withdrawn at or prior to 12:00 midnight, New York City time, on Friday, October 1, 2010 (the “Early Tender Premium Deadline”). Any Notes validly tendered after the Early Tender Premium Deadline but on or prior to the expiration date will be purchased at a purchase price of $972.50 per $1,000 in principal amount.  The purchase price for the Notes tendered at or prior to the Early Tender Premium Deadline includes an early tender premium of $30.00 per $1,000 in principal amount. All withdrawal rights will expire as of the Early Tender Premium Deadline.

 

Tendering holders will also receive accrued and unpaid interest from the last interest payment date to, but not including, the early settlement date or the settlement date, as applicable. The tender offer will be conditioned on, among other things, receipt of sufficient proceeds from the unregistered, private placement of the senior unsecured notes to fund the tender offer.  If any of the conditions is not satisfied, Sinclair is not obligated to accept for payment, purchase or pay for, and may delay the acceptance for payment of, any tendered Notes, in each event subject to applicable laws, and may terminate the tender offer. The tender offer is not conditioned on the tender of a minimum principal amount of Notes.  However, in order for the proposed amendments to the indenture governing the Notes to become effective, at least majority in principal amount of the outstanding Notes must deliver consents. Sinclair intends to fund the cash tender offer, and all related costs and expenses, with the net proceeds from the unregistered, private placement of senior unsecured notes and, if needed, a draw on the revolving line of credit under its senior secured credit facility and/or cash on-hand.

 

The tender offer will expire at 12:00 midnight, New York City time, on Monday, October 18, 2010 unless extended or earlier terminated by Sinclair.  Subject to satisfaction of the conditions set forth in the Statement, payment of the purchase price for the Notes validly tendered and not validly withdrawn

 



 

at or prior to the Early Tender Premium Deadline will be made as promptly as practicable, which is expected to be the second New York City business day after the Early Tender Premium Deadline. Payment of the purchase price for the Notes validly tendered after the Early Tender Premium Deadline but on or prior to the expiration date will be made as promptly as practicable, which is expected to be the second New York City business day after the expiration date.
