ITEM 5.07 Submission of Matters to a Vote of Security Holders.

On May 16, 2023, the registrant held its 2023 Annual Meeting of Shareholders. The following matters were submitted to a vote of the shareholders of record as of March 10, 2023 through the solicitation of proxies:

1.To elect thirteen directors to serve until the 2024 Annual Meeting of Shareholders and until their successors have been duly elected and qualified;

2.To provide an advisory (non-binding) vote to approve compensation of the registrant’s named executive officers; and

3.To provide an advisory (non-binding) vote to select the frequency of the advisory (non-binding) vote to approve compensation of the registrant’s named executive officers; and

4.To ratify Ernst & Young LLP as the registrant’s independent registered public accounting firm for 2023.

5.To approve the 2023 OMNIBUS Incentive Plan.

All thirteen nominees were elected to serve until the 2024 Annual Meeting of Shareholders and until their successors have been duly elected and qualified. The results of the election were as follows:
