(b)                  On April 24, 2012, Ted J. Simon informed Sun Communities, Inc. (the “Company”) that he will not stand for re-election as a member of the Company’s board of directors upon the expiration of his current term, which expires on July 19, 2012, the date of the Company’s 2012 Annual Meeting of Shareholders. Mr. Simon advised the Company that his decision not to stand for re-election was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
