On January 17, 2012, Sun Communities, Inc. (the “Company”) issued a press release announcing that it has closed its previously announced underwritten registered public offering of 4,600,000 shares of common stock at a price of $35.50 per share, which includes 600,000 shares sold to the underwriters pursuant to the full exercise of their option to purchase additional shares.  A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.

Sun Communities, Inc. Closes Public Offering of Common Stock

Southfield, MI, January 17, 2012 – Sun Communities, Inc. (NYSE: SUI) (the “Company”) today announced that it has closed its previously announced underwritten registered public offering of 4,600,000 shares of common stock at a price of $35.50 per share, which includes 600,000 shares sold to the underwriters pursuant to the full exercise of their option to purchase additional shares. The Company estimates that the net proceeds from the offering will be approximately $155.5 million after deducting the underwriting discounts and expenses related to the offering.

The Company intends to use the net proceeds of the offering to fund a portion of the purchase price of three recreational vehicle communities located in Florida that it agreed to acquire, as previously disclosed, and to repay outstanding debt. The Company expects to use any remaining net proceeds of the offering to fund possible future acquisitions of properties and for working capital and general corporate purposes.

Citigroup and BofA Merrill Lynch acted as joint book-running managers for the offering. BMO Capital Markets acted as senior co-manager for the offering.  In addition, Gleacher & Company, Comerica Securities, and PNC Capital Markets LLC acted as co-managers for the offering.

The offering was made pursuant to an effective shelf registration statement filed with the Securities and Exchange Commission.
