Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.

Guess?, Inc. (the “Company”) previously disclosed on a Current Report on Form 8-K filed on January 28, 2019 that the board of directors of the Company (the “Board”) had agreed to appoint Carlos Alberini as the Company’s new Chief Executive Officer and a member of the Board, to be effective at a future date that was expected to be not later than March 27, 2019.  On February 20, 2019, Mr. Alberini began his service as the Company’s Chief Executive Officer and a member of the Board, pursuant to the terms previously disclosed.  As a result, on that same date and as previously contemplated, Maurice Marciano ceased serving as the Company’s Interim Chief Executive Officer.  Mr. Maurice Marciano continues to serve on the Board and as the Company’s Chairman of the Board.
