Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On June 28, 2013, JDS Uniphase Corporation (the “Company”) entered into an agreement with Roy Bie, Senior Vice President, Transition Services, pursuant to which Mr. Bie will leave the Company at a date which has yet to be determined, but is expected to be during the second quarter of the Company’s 2014 fiscal year.

(e) Pursuant to the Company’s agreement with Mr. Bie, Mr. Bie will receive a lump sum payment of $525,000, which is equal to 150% of his current annual base salary, upon termination in exchange for execution of the Company’s standard form of separation agreement.
