Item 5.02.       Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
(e)         On May 4, 2010, PartnerRe Ltd. (the “Company”) announced  that Patrick Thiele, Chief Executive Officer, had advised the Company of his decision to retire, effective December 31, 2010.
 
On November 19, 2010, the Company approved certain amendments to Mr. Thiele’s compensatory arrangements in connection with his decision to retire as Chief Executive Officer.  Pursuant to such approval, all of Mr. Thiele’s unvested equity awards will become fully vested on December 31, 2010.
