Item 5.07    Submission of Matters to a Vote of Security Holders

TriQuint Semiconductor, Inc. (the “Company”) held a Special Meeting of Stockholders on September 5, 2014 (the “Special Meeting”). At the Special Meeting, 142,859,864 shares were represented to vote either in person or by proxy, or 82% of the outstanding shares, which represented a quorum. The following is a brief description of the matters voted on at the meeting, which are more fully described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission, and a statement of the number of votes cast for, withheld and against and the number of abstentions and broker non-votes:

Proposal 1: Adoption of the Agreement and Plan of Merger and Reorganization

The Agreement and Plan of Merger and Reorganization, dated as of February 22, 2014 and amended as of July 15, 2014, by and among the Company, RF Micro Devices, Inc., a North Carolina corporation (“RFMD”), and Rocky Holding, Inc., a newly formed Delaware corporation (“Rocky Holding”) was adopted with 138,601,842 votes in favor, 236,428 votes against, 4,021,594 abstentions and 0 broker non-votes.

Proposal 2: Approval of absence of majority vote provision in Rocky Holding’s certificate of incorporation

The absence of a provision in Rocky Holding’s amended and restated certificate of incorporation that would provide for directors of Rocky Holding to be elected by majority vote, which provision is instead located in Rocky Holding’s amended and restated bylaws, was approved with 138,517,317 votes in favor, 299,982 votes against, 4,042,565 abstentions and 0 broker non-votes.

Proposal 3: Approval of adjournment of the TriQuint Special Meeting

The adjournment of the TriQuint Special Meeting was approved with 130,846,675 votes in favor, 7,965,119 votes against, 4,048,070 abstentions and 0 broker non-votes.

Proposal 4: Approval of compensation arrangements for executive officers

The compensation arrangements for TriQuint’s named executive officers in connection with the mergers was approved, by non-binding advisory vote, with 123,422,683 votes in favor, 14,837,167 votes against, 4,600 014 abstentions and 0 broker non-votes.

Proposal 5: Approval of amended TriQuint 2013 Incentive Plan

The amended TriQuint 2013 Incentive Plan was approved with 122,943,530 votes in favor, 15,523,999 votes against, 4,392,335 abstentions and 0 broker non-votes.

Item 8.01    Other Events.

Pursuant to the terms of the Merger Agreement, the Company’s board of directors has selected the following individuals to serve on Rocky Holding’s board of directors following the closing: Charles Scott Gibson, David H.Y. Ho, Roderick D. Nelson and Dr. Walden C. Rhines. These directors will join the Company’s chief executive officer, Ralph G. Quinsey, who will serve as non-executive chairman of Rocky Holding’s board of directors following the closing.
